The assets of the business including land, building, furniture, fixtures, equipment, inventory, accounts receivable and goodwill are valued at $5,050,000.  The sale transaction will be structured as a sale of shares with a price adjusted to reflect the balance sheet at the time of closing.  An equity investment of approximately of $1.7M is anticipated.
